1. Definitions

• "Services" refers to video production, editing, and related creative services offered by us.
• "Content" refers to all materials, including videos, images, scripts, and other creative works produced by us.
• "Project" refers to a specific assignment or work commissioned by the Client.

2. Services and Booking

2.1 Service Description

We provide creative video production services including but not limited to:

• Brand films and commercials
• Social media videos
• Product videos
• Video editing and post-production
• Motion graphics
• Related creative services

2.2 Project Acceptance

All projects are subject to written acceptance via email or formal agreement. We reserve the right to decline any project at our discretion.

2.3 Changes to Services

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. Client Responsibilities

3.1 Project Information

You agree to provide accurate, complete, and timely information necessary for the execution of the project.

3.2 Content and Materials

You are responsible for providing all necessary materials, approvals, and access required for the project completion.

3.3 Revisions

The number of revisions included in each project will be specified in the project agreement. Additional revisions may incur extra charges.

3.4 Timely Feedback

You agree to provide feedback and approvals in a timely manner to avoid project delays.

4. Pricing and Payment

4.1 Quotations

All quotations are valid for 30 days from the date of issue. Prices are subject to change without notice.

4.2 Payment Terms

Unless otherwise agreed:

• A 50% deposit is required to commence work
• The remaining 50% is due upon project completion
• Payment is due within 7 days of invoice date

4.3 Late Payments

Late payments may be subject to interest charges of 1.5% per month on the outstanding balance.

4.4 Changes to Scope

Any changes to the project scope may result in adjusted pricing and timeline.

5. Intellectual Property

5.1 Client Materials

You retain ownership of all materials provided to us for the project.

5.2 Our Work

We retain ownership of all preliminary work, concepts, and unused materials.

5.3 Final Deliverables

Upon full payment, you receive full ownership and usage rights to the final delivered content for the intended purposes.

5.4 Portfolio Usage

We retain the right to display completed work in our portfolio, website, and marketing materials unless otherwise agreed in writing.

6. Confidentiality

We agree to keep confidential all information and materials provided by you that are marked as confidential or would reasonably be considered confidential.

This confidentiality obligation does not apply to information that:

• Was already known to us
• Is or becomes publicly available
• Is rightfully received from a third party
• Is required to be disclosed by law

7. Cancellation and Termination

7.1 Cancellation by Client

If you cancel a project:

• Within 24 hours of booking: Full refund of any deposit
• After work has commenced: Deposit is non-refundable, and you may be charged for work completed

7.2 Termination by Us

We may terminate a project if:

• You fail to make payments when due
• You fail to provide necessary materials or feedback
• There are circumstances beyond our control that prevent completion

8. Warranties and Limitations

8.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care.

8.2 Limitation of Liability

Our total liability to you for any claim shall not exceed the total amount paid by you for the specific project.

8.3 No Consequential Damages

We shall not be liable for any indirect, special, incidental, or consequential damages.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your infringement of any third-party rights
• Materials provided by you for the project

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai.

11. Changes to Terms

We reserve the right to modify these Terms at any time. The updated version will be posted on our website with an updated "Last updated" date. Your continued use of our services constitutes acceptance of the modified Terms.
